This Terms of Service (“AGREEMENT” OR “TERMS”) is a legal agreement between you and Mosyle Corporation (“MOSYLE”, “WE” or “US”), the company that owns and operates the https://myschool.mosyle.com/mosyleathome/ Website (“SITE”) and the Mosyle@Home mobile application (“APP”), on which we provide a service (“SERVICES”) that enable parents and legal guardians to view or use certain limited home-management features for School-owned student devices that are managed by a School through Mosyle OneK12.

Before using the Services, it is important that you carefully read the following Agreement. This Agreement is applicable to authorized parents or legal guardians who create or manage a Mosyle@Home Account (“USER(S)”, “you”, and “your”) and students whose School Owned devices are enrolled, configured, monitored, or managed by. A School through Mosyle OneK12 and for whom the School has elected to make Mosyle@Home available (“MONITORED USER(S)”) .

Mosyle@Home is not a standalone consumer device management service. Mosyle@Home is available exclusively when a School, in its sole discretion, enables Mosyle@Home for eligible legal guardians of students using School-owned devices managed through Mosyle OneK12. The School may enable, disable, restrict, configure, or modify access to Mosyle@Home at any time.

By using Mosyle@Home’s Services in any way, you are representing and warranting that you agree with these Terms and will be legally bound to these Terms. These Terms also include our Privacy Policy at https://school.mosyle.com/legal/privacy_mosyleathome and any and all other policies we may publish on our site. You must be at least eighteen (18) years old and have all legal rights, authority, and consents necessary to add each Monitored User and each device in the Services. You may not use the Services to monitor, access, control, or manage any individual or device unless the applicable School has authorized your access through Mosyle OneK12 and you have lawful authority as the Monitored User’s legal guardian.

You acknowledge and agree that the School, not Mosyle, is solely responsible for the ownership, deployment, configuration, supervision, administration, restrictions, permissions, policies, and management of School-owned devices. If you have any questions, requests, or disputes regarding Mosyle@Home, a School-owned device, device configuration, restrictions, access, student accounts, School policies, or the School’s use of Mosyle OneK12, you should contact the School directly.

We reserve any rights not expressly granted herein.

You are free to reject these Terms, but that means that you cannot use our Services in any way. This Agreement is in full effect while you use Services in any way.

1. LICENSE

We hereby grant you a revocable, non-exclusive, non-transferable, limited right and license to access and use the Services and to download and install the Mosyle@Home Apps on supported devices solely as made available to you by the applicable School, and solely in connection with a School-owned device assigned to a Monitored User for whom you are the legal guardian.

The Services may not be used for commercial purposes under any circumstance. The Services may not be used to manage personally owned devices, employer-owned devices, non-School devices, or any device that is not made available to you by a School through Mosyle OneK12.

The term of your License shall commence on the date that you create your Account and will end when (a) your Account is terminated by you, Mosyle, or the applicable School; (b) the School disables Mosyle@Home; (c) the School removes your access; (d) the School removes or unenrolls the applicable device; (e) the applicable device is no longer managed through Mosyle OneK12; or (f) Mosyle terminates your access under these Terms.

We reserve the right to immediately terminate your license if you use the Services in breach of the Terms set forth herein or in the Privacy Policy.

We retain all right, title and interest in and to the Mosyle@Home App and Services, including, but not limited to, all copyrights, trademarks, trade secrets, trade names, proprietary rights, patents, titles, computer codes, and all other rights whether registered or not and all applications thereof. The Mosyle@Home App and Services are protected by applicable laws and treaties worldwide, and may not be copied, reproduced or distributed in any manner or medium, in whole or in part, without prior written consent from us.

2. YOUR ACCOUNT

You are responsible for your Account, the information you provide, and the confidentiality of passwords and other authentication methods You may create and use an Account only for yourself and only if you are the legal guardian of a Monitored User whose School-owned device has been made available to you through Mosyle@Home by the applicable School.

Your Account access may depend on information, authorization, invitation, configuration, or eligibility determined by the School. Mosyle does not independently determine whether a student should receive a School-owned device, whether a device should be managed, which restrictions should apply, whether Mosyle@Home should be enabled, or which legal guardians should be granted access, except as necessary to operate the Services according to the School’s configuration and applicable law.

You may not let others use your Account and you may not share your login information with others. You must keep your contact and personal profile information accurate and current. We will only disclose your identity to third parties in accordance with our Privacy Policy at https://school.mosyle.com/legal/privacy_mosyleathome.

3. SERVICES OVERVIEW

Through Mosyle@Home, Users may be able to remotely view, monitor, analyze, or use certain limited management features for supported School-owned devices used by Monitored Users, only to the extent enabled, configured, and permitted by the applicable School through Mosyle OneK12.

The Services may include functionality related to screen time, application restrictions, web content controls, device status, device usage, location, and similar device management features. The specific features available to you may vary based on the School’s Mosyle OneK12 configuration, the School’s policies, the device type, operating system, permissions, platform rules, and technical availability.

The School has sole discretion and responsibility for determining whether Mosyle@Home is available to you and what functionality, if any, is available through Mosyle@Home. The School may enable, disable, restrict, modify, or remove your access to Mosyle@Home at any time without notice from Mosyle.

To use the Services, you may be required to create an Account by providing your email address and creating a password. We may also request that you provide a nickname, profile information, or other information necessary to operate the Services. Your ability to create or use an Account may depend on authorization, invitation, or configuration by the applicable School. The School is solely responsible for the School-owned device, including device ownership, assignment, enrollment, supervision, restrictions, applications, content filters, device management profiles, security settings, network settings, operating system settings, and all other device configurations and management decisions.

The User may be able to review information made available through the Services or use certain features enabled by the School. However, the User does not control the School’s Mosyle OneK12 environment, the School’s device management policies, or the School-owned device except to the limited extent expressly made available by the School through Mosyle@Home.

The User is responsible for: (a) using Mosyle@Home only as permitted by these Terms and the applicable School; (b) maintaining the confidentiality of the User’s Account credentials; (c) using the Services only in connection with a Monitored User for whom the User is the legal guardian; and (d) contacting the School with any questions, requests, or disputes regarding Mosyle@Home, the School-owned device, device configuration, access, restrictions, monitoring, or management.

Mosyle@Home is designed to support School-authorized legal guardian visibility or limited interaction with School-owned devices. Mosyle@Home is not a substitute for School policies, School administration, classroom management, student safety protocols, or legal advice.

The Services may rely on information, permissions, device status, network connectivity, operating system functionality, platform rules, third-party services, and School configurations outside Mosyle’s control. As a result, the Services may not detect, block, report, restrict, or display all activity, applications, locations, content, or device events.

After you establish your Account, the following terms apply to your use of the Services:
  1. Account Access: You are fully responsible for any activity that occurs in connection with your Account, whether or not authorized, and for maintaining the confidentiality of passwords and any other credentials used to access your Account. If you discover any unauthorized access to or use of your Account, you agree to immediately terminate such access and use, and promptly notify Mosyle and the School.
  2. School-Owned Devices: You may access Mosyle@Home only for supported School- owned devices that the applicable School has made available to you through Mosyle OneK12. You may not add, enroll, remove, supervise, or manage devices except to the limited extent expressly enabled by the School through the Services.
  3. Monitored Users: You may use the Services only in connection with students for whom you are the legal guardian and only where the applicable School has authorized your access through Mosyle OneK12. You are responsible for removing any device from the Services if you no longer have authority to manage that device.
  4. School Questions and Requests: If you have questions or concerns regarding Mosyle@Home, School-owned devices, restrictions, monitoring, access, student data, School policies, device configuration, or device management decisions, you must contact the School directly. Mosyle cannot override School policies, modify School configurations at your request, remove School restrictions at your request, or make School device-management decisions for the School.

4. PROHIBITIONS
You may not use the Services for any purpose different accessing School-enabled Mosyle@Home functionality for a Monitored User for whom you are the legal guardian, including but not limited to:
  1. copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code of the App or Services;
  2. remove or obscure the copyright notice or other notices displayed in connection with the Services;
  3. interfere with or disrupt the Services, or servers and networks connected to the Services, or circumvent, disable or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content or that enforce limitations on use of the Services;
  4. allow any third party to use the Services under your Account, share your password or other account information with anyone, create additional Accounts for any reason whatsoever, or use the Account of any third party; excepted otherwise for the means officially available in the Services;
  5. use the Services to monitor, access, control, or manage any person or device for which you lack legal authority, required consent, or School authorization;
  6. use the Services for stalking, harassment, coercive control, unauthorized surveillance, or any other purpose that violates another person’s rights or applicable law;
  7. use any robot, spider, scraper, or other automated means to access the Services for any purpose;
  8. knowingly disseminate or transmit any worms, viruses or other harmful, disruptive or destructive files, code, programs or other similar technologies; or
  9. otherwise utilize the Services in any manner that violates any statute, rule, or regulation.

5. REPRESENTATIONS AND WARRANTIES
The Services are made available to you in reliance upon the following representations and warranties:
  1. The information you provided when creating your Account was complete and accurate in all respects;
  2. You are over the age of eighteen (18);
  3. You are the legal guardian of each Monitored User whose School-owned device is made available to you through Mosyle@Home;
  4. Your access to the Services has been authorized by the applicable School through Mosyle OneK12;
  5. You will use the Services only for their intended purpose and only as made available by the applicable School;
  6. You understand and agree that the School is solely responsible for the School-owned device and for its configuration, restrictions, policies, monitoring, and management;
  7. You will not use the Services for the purpose of violating any statute, rule, or regulation;
  8. You will not use the Services to facilitate the distribution of computer viruses, spyware, or any other malicious code;
  9. You will not use the Services App to violate the privacy rights, harass, stalk, or surveil any person unlawfully; and
  10. You will not use the Services in any manner other than as described herein.

6. PROTECTION OF PERSONAL DATA AND HOME DATA

Mosyle will maintain administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of information associated with your Account.

Those safeguards include, but are not limited to, measures designed to prevent access, use, modification, or disclosure of Home Data except: (a) to provide, operate, secure, maintain, or improve the Services; (b) as configured, instructed, or authorized by the applicable School; (c) as compelled by law; (d) as you expressly request or authorize where permitted by the School’s configuration and applicable law; or (e) as otherwise described in the Privacy Policy.

You acknowledge that School-Home Data may be controlled, configured, or made available by the School through Mosyle OneK12. The School is responsible for determining which data is collected from School-owned devices, which features are enabled, which restrictions apply, which legal guardians may access Mosyle@Home, and how Mosyle@Home is used in connection with the School’s device program.

Mosyle will perform the Services in the United States. Mosyle is compliant with the Data Privacy Framework, which legally requires Mosyle to provide an adequate level of protection recognized under applicable law when processing the personal data of EU, UK, or Swiss individuals in the United States.

By agreeing to these Terms, you authorize Mosyle to engage, through written agreement, subprocessors for the purpose of providing the Services. Mosyle will inform users of material changes to its subprocessors in accordance with the procedure for modifying these Terms or the Privacy Policy.

  • Azure
    Azure provides services, infrastructure, storage, and networking. The extensive list of Microsoft AZURE security reports and attestations can be found here.

7. SCHOOL RESPONSIBILITY AND SCHOOL CONTACT

Mosyle provides technology that enables Schools to manage School-owned devices through Mosyle OneK12 and, at the School’s discretion, to make certain Mosyle@Home functionality available to legal guardians.

The School, not Mosyle, is solely responsible for:
  1. determining whether Mosyle@Home will be enabled, disabled, limited, or modified;
  2. determining which legal guardians may access Mosyle@Home;
  3. determining which students and School-owned devices are eligible for Mosyle@Home;
  4. configuring device restrictions, permissions, apps, content filters, settings, schedules, policies, and management profiles;
  5. determining whether and how student device information is made available through Mosyle@Home;
  6. providing notice to legal guardians and students as required by applicable law and School policy;
  7. obtaining any consents or authorizations required by applicable law or School policy;
  8. responding to guardian questions, requests, and disputes regarding School-owned devices, School policies, School configurations, student accounts, restrictions, access, or Mosyle@Home availability; and
  9. complying with laws applicable to the School’s use of Mosyle OneK12 and Mosyle@Home.

If you have any questions, requests, or complaints regarding Mosyle@Home or a School-owned device, including questions about why Mosyle@Home is or is not available, what information is shown, what restrictions apply, how a device is configured, or how a student device is managed, you should contact the School directly.

Mosyle cannot make School policy decisions, change School-managed device configurations, enable or disable Mosyle@Home for a student, add or remove a legal guardian, modify a School- owned device restriction, or provide School-specific explanations unless authorized by the School.

8. NO WARRANTY

The Services are provided on an "as is" and "as available" basis, and without warranties of any kind either express or implied. You assume all responsibility for the selection of the Services to achieve your intended results.

EXCEPT AS OTHERSISE SPECIFIED HEREIN, WE HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON- INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT OFFER A WARRANTY OR MAKE ANY REPRESENTATION CONCERNING THE ACCURACY OF THE SERVICES. WE DO NOT WARRANT THAT MOSYLE@HOME WILL BE AVAILABLE FOR ANY PARTICULAR SCHOOL, STUDENT, LEGAL GUARDIAN, DEVICE, FEATURE, OPERATING SYSTEM, OR CONFIGURATION. AVAILABILITY OF MOSYLE@HOME DEPENDS ON THE SCHOOL’S DECISIONS, THE SCHOOL’S MOSYLE ONEK12 CONFIGURATION, DEVICE STATUS, PLATFORM RULES, NETWORK CONNECTIVITY, AND OTHER FACTORS OUTSIDE MOSYLE’S CONTROL. IF YOU RELY ON THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION YOU OBTAIN VIA YOUR USE OF THE SERVICES, YOU DO SO SOLELY AT YOUR OWN RISK. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO TO THAT EXTENT SUCH EXCLUSIONS MAY NOT APPLY TO YOU.

9. LIMITATION OF LIABILITY

In no event we shall be liable to you or any other party for any indirect, special, incidental, consequential, or punitive damages, however and wherever arising, that may result from the delivery or failure of the Services, including without limitation to losses incurred due to: (a) software glitches, server failures, power outages, network failures, platform changes, device limitations, or any other issue beyond our control; (b) any delays in or failure of the Services to operate as described; (c) any unauthorized disclosure of Account information that may occur through the actions of any third party, such as hackers; (d) any damages that may occur to a telephone, tablet, computer,or other mobile device that results from the use of the Services; (e) damages or losses of any kind resulting from actions you take in reliance upon any results or other information provided by the Services; (f) the School’s decision to enable, disable, restrict, configure, or modify Mosyle@Home; (g) the School’s ownership, assignment, configuration, monitoring, restriction, or management of School-owned devices; or (h) any other damages or losses you may incur in connection with the Services.

BECAUSE MOSYLE@HOME IS MADE AVAILABLE TO YOU THROUGH THE APPLICABLE SCHOOL AND NOT SOLD DIRECTLY TO YOU AS A STANDALONE CONSUMER SERVICE, IN NO EVENT SHALL OUR AGGREGATE LIABILITY UNDER THIS AGREEMENT OR IN CONNECTION WITH THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100). CERTAIN STATES AND/OR JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE EXCLUSIONS SET FORTH IN THIS SECTION MAY NOT APPLY TO YOU.

10. INDEMNIFICATION

You are solely responsible for using our Services in accordance with applicable law, School authorization, and these Terms, and agree to indemnify, hold harmless, and defend us, together with our officers, directors, employees, agents, subsidiaries, and affiliates (the “Indemnified Parties”), from and against any claims, actions, proceedings, and suits (collectively “Claims”) brought against us by any third party or regulatory agency that are associated with your use or misuse of the Services including but not limited to unauthorized access, unauthorized monitoring, invasion of privacy claims, misuse of Account credentials, violation of School policy, violation of applicable law, or use of the Services for any person or device for which you lack legal authority or School authorization. You expressly agree to assume liability for any damages, settlements, penalties, fines, costs or expenses,including, without limitation, reasonable attorneys’ fees, that may be incurred by us in connection with any Claim subject to this section.

11. GOVERNING LAW

This Agreement will be governed by the internal law of the state of Delaware.

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Orlando, Florida, in accordance with the AAA rules then in effect, and judgment upon any award rendered in such arbitration will be binding and may be entered in any court having jurisdiction thereof.

12. LIMITATION OF ACTIONS

Any claim or cause of action arising out of your use of the Services must be filed within one (1) year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary. Within this period, any failure by us to enforce or exercise any provision of these Terms or any related right shall not constitute a waiver of that right or provision.

13. MODIFICATION AND NOTICE OF CHANGES

We reserve the right to change, modify, add or remove portions of these Terms, without advance notice to you. We will notify you of any such changes by posting a notice on our Site, App, and/or via email. The new Terms will reference the effective date at the top of this page together with a link to previous versions. Except as stated elsewhere, such amended terms will be effective immediately and without further notice. Your continued use of the Services after the posting of changes constitutes your binding acceptance of such changes.

14. ENTIRE AGREEMENT

These Terms and any document incorporated by reference herein constitute the entire agreement between you and us and govern your use of the Services, superseding any prior agreements between us.

These Terms do not replace, modify, or supersede any separate agreement between Mosyle and the applicable School, any School policy, or any agreement between you and the applicable School.

15. SEVERABILITY

If any provision of these Terms is found by a court or other binding authority to be invalid, the remaining provisions contained in these Terms shall continue in full force and effect.

16. VIOLATIONS

We reserve the right to take any action it deems appropriate if we determine, in our sole and absolute discretion, that you have violated these Terms. Such action may include cancelling your Account, terminating your license to use the Services, notifying the applicable School, preserving or disclosing information as permitted by law, or initiating civil or criminal legal proceedings.
